Rounding out the Ziffren Center's Supplemental Practical Legal Education (SPLE) programs for 2018-19, UCLA Law alums, on Ayo Adeyeye '13 and Erez Rosenberg '15 of Jackoway Austen Tyerman Wertheimer Mandelbaum Morris Bernstein Trattner & Klein offered a lunchtime presentation on March 8 on the basics of transactional entertainment law—namely the Certificate of Engagement.

Noting the document's use in memorializing the expectations of both studios and talent during negotiations, the alumni brought with them sample documents for students to analyze. In their hour-long presentation, Adeyeye and Rosenberg advised students about what a certificate must contain to secure a clear chain of title, including references to an in-progress long-form agreement and minimum standard rights from the Writers Guild, as well as a clear definition of indemnity for the parties. The duo also illuminated the nature of negotiating between the separate business and legal affairs departments within a studio, identifying the potential obstacles that junior associates may face when drafting television, film and new media agreements.
